MARIELCO is a fashion brand offering bags, shoes and watches operated by:

Throughout these Terms, the terms "MARIELCO," "we," "us," and "our" refer to MIDU Commerce LLC operating under the MARIELCO brand. Our legal business address is separate from our fulfillment locations and authorized return addresses. MARIELCO orders are currently fulfilled and dispatched from Guangzhou, China.

Our legal business address must not be used as a return address unless MARIELCO Customer Care specifically instructs you to send a return there.

What these terms cover

These Terms apply to:

• Creation and use of customer accounts

02Using the Website

Eligibility

By using MARIELCO or placing an order, you confirm that you have the legal capacity to enter into a binding agreement, and that you are at least the age of majority in your jurisdiction, or are using the website with the authorization of a parent or legal guardian where permitted by law.

You may not use our website for any unlawful or unauthorized purpose.

Customer accounts

You may be able to create a MARIELCO customer account. You are responsible for:

• Providing accurate information
• Keeping your account details current
• Protecting your password
• Restricting unauthorized access to your account
• Activities carried out through your account where reasonably attributable to you

Please contact MARIELCO Customer Care promptly if you believe your account has been accessed without authorization. We may suspend or restrict an account where reasonably necessary to protect customers, prevent fraud, maintain website security, or enforce these Terms.

Acceptable use

You must not use the MARIELCO website to:

• Violate applicable law
• Commit or facilitate fraud
• Submit false information or impersonate another person
• Attempt unauthorized access or circumvent security controls
• Introduce malware or harmful code
• Interfere with website operation
• Scrape website content in an abusive or unauthorized manner
• Infringe intellectual property rights
• Abuse promotions or return procedures
• Engage in other unlawful or harmful conduct

We may take reasonable measures to prevent or stop misuse.

Website availability

We aim to keep MARIELCO available and operating properly. However, uninterrupted access cannot be guaranteed. The website may occasionally be unavailable due to maintenance, updates, technical problems, security incidents, hosting failures, network disruptions, or circumstances beyond our reasonable control.

We may modify, suspend, or discontinue website functionality where reasonably necessary.

03Products & Materials

Product information

MARIELCO makes reasonable efforts to provide accurate product descriptions, specifications, materials, dimensions, photographs, pricing, and availability information. However, minor variations may occur.

Colors may appear differently depending on device display, screen settings, lighting, photography, or browser configuration. Measurements may also vary slightly where products are handmade or measured manually. Nothing in this section affects rights relating to products that are genuinely defective, materially misdescribed, or otherwise covered by applicable consumer law.

Leather and natural materials

MARIELCO offers products that may include leather and other naturally occurring materials. Natural materials are inherently unique.

Reasonable variations may include differences in color, tone, texture, grain, surface characteristics and natural markings. These natural characteristics are not considered manufacturing defects. A product will not be considered defective or incorrect solely because its natural characteristics differ reasonably from photographs of another piece of the same product.

This does not apply to genuine manufacturing defects, breakage, shipping damage, incorrect products, or material errors by MARIELCO.

Product availability

All products are subject to availability. Adding a product to your shopping bag does not reserve that product. We may limit purchase quantities, discontinue products, restrict products in certain locations, cancel unavailable items, or correct inventory errors.

If we are unable to fulfill a paid order because an item is unavailable, we will provide an appropriate refund for the affected item.

Product care

Bags, shoes and watches can change in appearance over time depending on material, wear, storage, contact with chemicals, moisture, cosmetics, perfume, or environmental conditions. Customers should follow applicable product-care guidance.

Normal wear, tarnishing, natural aging, or damage caused by misuse or improper care may not constitute a manufacturing defect. This does not affect valid claims relating to genuine manufacturing defects.

04Pricing & Payment

Pricing

Product prices are displayed in the currency shown on the website or during checkout. Where the website is configured for the United States market, prices may be displayed in USD.

Prices may change from time to time. A price change will not normally affect an order that has already been accepted, except where there has been an obvious pricing error or where applicable law requires otherwise. The final product price and applicable shipping charges will be displayed before the customer completes payment.

Pricing errors

Although we make reasonable efforts to ensure pricing accuracy, errors may occasionally occur. If a product is listed at an obviously incorrect price due to a technical error, typographical error, system malfunction, data-entry error, or other clear pricing mistake, MARIELCO may contact the customer before fulfillment.

Where permitted by law, we may cancel an order affected by an obvious pricing error and refund any amount already paid. We will not substitute a higher price without informing the customer and obtaining payment where required.

Payment

Payment must be successfully authorized before an order can be fulfilled. Available payment methods are displayed during checkout and may vary by country, region, currency, device, or payment provider. By submitting payment information, you represent that you are authorized to use the selected payment method.

Payments may be processed by third-party payment processors. MARIELCO does not necessarily receive or store complete payment-card information where payment data is handled directly by the applicable payment provider.

Payment verification and fraud prevention

To protect customers and MARIELCO from unauthorized transactions, an order may be subject to payment or fraud-prevention checks. We may reasonably request additional information to verify identity, billing details, delivery information, payment authorization, or transaction legitimacy.

An order may be delayed, suspended, or cancelled where payment authorization fails, required verification cannot be completed, fraud is reasonably suspected, or the transaction presents an unacceptable security risk. Any cancellation under this section will be handled in accordance with applicable law and payment-processing requirements.

05Orders & Cancellation

Placing an order

Submitting an order through the MARIELCO website constitutes an offer to purchase the selected products under these Terms. After placing an order, you may receive an order confirmation by email. An automated order confirmation acknowledges receipt of your order but does not necessarily mean the order has been finally accepted.

Order acceptance

Unless applicable law provides otherwise, acceptance of an order normally occurs when the order is dispatched. MARIELCO may decline or cancel an order before dispatch for legitimate reasons including:

• Product unavailability
• Pricing or product-information error
• Payment failure
• Suspected fraud
• Quantity restrictions
• Unsupported shipping destination
• Sanctions or legal restrictions
• Inability to complete required verification
• Technical or inventory error

If we cancel a paid order, eligible amounts already paid for the cancelled products will be refunded.

Order processing

Standard orders are normally processed and dispatched within 1–2 business days after successful payment confirmation. MARIELCO does not guarantee same-day dispatch. Our standard order cut-off time is 2:00 PM China Standard Time (UTC+8). Orders submitted after the applicable cut-off time, on weekends, or on public holidays may begin processing on the next business day.

Certain customized, personalized, made-to-order, pre-order, or special products may require additional preparation time.

Cancellation

Customers may contact MARIELCO Customer Care to request cancellation of a standard non-customized order before dispatch. Where an eligible order can successfully be cancelled before shipment, no cancellation fee will be charged. Cancellation requests are not guaranteed.

Once an order has been dispatched, it can no longer be treated as a pre-shipment cancellation. After dispatch, any eligible return must generally follow our Returns & Refunds Policy.

Customized, engraved, personalized, made-to-order, or specially altered products may become non-cancellable once production or customization has begun. This restriction does not affect rights relating to MARIELCO errors, defective products, or mandatory consumer protections.

Changes to orders

Please contact MARIELCO Customer Care as soon as possible if you wish to request a change to an order. Changes may include product variation, size, quantity, shipping address, or other order details. We cannot guarantee that changes can be made after an order has entered fulfillment.

06Shipping & Delivery

Shipping origin

MARIELCO orders are fulfilled and dispatched from Guangzhou, China. The legal business address of MIDU Commerce LLC is not the shipping origin. Shipping routes, carrier partners, transit facilities, and last-mile providers may vary according to the destination and logistics requirements. Full shipping terms are set out in our Shipping & Delivery Policy.

Standard and Express Air Shipping

Standard Shipping is the default shipping service for eligible MARIELCO orders. Below a qualifying merchandise subtotal of USD 298.00, Standard Shipping costs USD 50.00 for the first item plus USD 15.00 for each additional item. Orders with a qualifying merchandise subtotal of USD 298.00 or more receive complimentary Standard Shipping. Eligibility is calculated after applicable discounts, promotional codes or coupons; shipping charges do not count toward that subtotal.

A faster optional service may be available for supported destinations. Express Air Shipping costs USD 70.00 for the first item plus USD 20.00 for each additional item. It remains a paid service when an order qualifies for complimentary Standard Shipping.

Estimated delivery and worldwide shipping

For Standard Shipping, most standard orders are expected to arrive within 7–30 business days from the date the order is placed. This estimate includes normal order processing and transportation time. Delivery estimates are not guaranteed delivery dates and may be affected by destination, customs procedures, carrier operations, public holidays, severe weather, remote areas, government restrictions, or international logistics disruptions.

MARIELCO offers international shipping to most countries and regions supported by our logistics partners. Delivery may not be available to destinations affected by international sanctions, trade restrictions, applicable law, customs restrictions, security requirements, carrier service limitations, exceptionally remote locations, or temporary logistics disruptions. Availability is normally confirmed during checkout.

Duties and taxes

Applicable standard import duties and taxes associated with eligible MARIELCO shipments are handled by MARIELCO as described in our Shipping & Delivery Policy. Customers should not normally be required to pay additional standard import duties or taxes when receiving an eligible order.

Additional costs arising from circumstances outside the normal import process may be treated separately, including costs caused by incorrect customer information, refused delivery, repeated failed delivery, extended storage, or customer-requested rerouting.

Tracking and delivery responsibility

Tracking is available for all shipped MARIELCO orders. Once an order has been dispatched and tracking data becomes available, customers may follow the shipment using the MARIELCO Order Tracking service. Tracking updates are provided by logistics providers and may occasionally be delayed during international transit or customs processing.

Customers are responsible for providing accurate and complete delivery information, including recipient name, street address, apartment or unit information, city, state or province, postal or ZIP code, country, and telephone number. Additional costs caused by incorrect or incomplete customer-provided information may be the customer's responsibility where permitted by law. Nothing in this section transfers to the customer responsibility for loss or damage that legally remains with MARIELCO.

07Returns, Exchanges & Refunds

Returns

Eligible full-price products may generally be returned within 30 days from the date of delivery, subject to the conditions in our Returns & Refunds Policy.

A customer must contact MARIELCO before returning merchandise and obtain return authorization. After return approval, the customer must normally dispatch the return within 7 calendar days. The authorized return address will be provided after approval.

Customers should not send returns to MARIELCO's legal business address or original shipping origin unless specifically instructed to do so.

Exclusions

Products purchased at sale prices, promotional prices, discounted prices, clearance prices, or other reduced prices are not eligible for change-of-mind returns or exchanges. Products clearly marked Final Sale are also not eligible.

Customized, engraved, personalized, made-to-order, or specially altered products are generally not eligible for change-of-mind returns or exchanges. Neither exclusion limits applicable rights relating to defective, damaged, incorrect, or otherwise non-conforming products.

Change-of-mind return shipping

For eligible change-of-mind returns:

• The customer is responsible for arranging return shipping.
• The customer is responsible for the return shipping cost.
• A tracked shipping service is strongly recommended.
• MARIELCO does not normally provide a prepaid return label.

The original shipping charge is generally not refundable for a change-of-mind return. This includes any paid Standard Shipping or optional Express Shipping fee.

Defective, damaged or incorrect products

If MARIELCO sends a defective product, a damaged product, an incorrect product, or an incorrect size due to MARIELCO error, please contact MARIELCO Customer Care. Where the issue is confirmed to be MARIELCO's responsibility, we will provide an appropriate remedy, which may include replacement, exchange, repair where appropriate, or refund.

The customer will not be required to bear reasonable shipping costs caused directly by a confirmed MARIELCO error. Where practical, MARIELCO may provide a prepaid return label. If a prepaid label cannot reasonably be provided, MARIELCO may reimburse reasonable return shipping costs that have been approved in advance.

Exchanges

Eligible products may be exchanged subject to return eligibility, product availability, inventory availability, and applicable shipping conditions. For change-of-mind exchanges, the customer is responsible for the return shipping cost, may be responsible for shipping the replacement item, and exchange availability is not guaranteed.

Where a direct exchange is impractical, MARIELCO may ask the customer to return the original product for a refund and place a new order. Where an exchange is required because of a confirmed MARIELCO error, MARIELCO will bear reasonable related shipping costs.

Refunds and deductions

Once an authorized returned item has been received, MARIELCO will normally inspect the return and process any approved refund within 2 business days. Approved refunds are normally issued to the original payment method. The time required for a processed refund to appear in the customer's account is determined by the applicable bank, card issuer, payment processor, digital-wallet provider, or other financial institution.

MARIELCO does not charge a restocking fee for eligible returns. However, where permitted by applicable law, an appropriate deduction may be made if the returned merchandise has suffered a material loss in value because it was worn, used, damaged, altered, resized, modified, returned incomplete, or returned without important originally supplied components. Any such deduction reflects the actual loss in merchandise value and is not a restocking fee.

08Promotions, Gift Cards & Warranty

Promotions, discounts and coupons

Promotions may be subject to eligibility requirements, validity dates, geographic restrictions, minimum spending requirements, product exclusions, usage limits, or other promotion-specific conditions. Unless expressly stated otherwise:

• Promotional discounts cannot be exchanged for cash.
• Expired promotional codes cannot be applied retrospectively.
• Promotions may not always be combined.
• Free Standard Shipping eligibility is calculated using the qualifying merchandise subtotal after applicable discounts or coupons.

MARIELCO may cancel or correct a promotion affected by an obvious technical or pricing error, subject to applicable law.

Gift cards

Where MARIELCO offers gift cards, gift-card terms displayed at the time of purchase will apply. Gift cards may be subject to specific redemption conditions, currency restrictions, expiration rules where legally permitted, non-refundable status, or fraud-prevention controls. Nothing in gift-card terms will override mandatory legal rights.

Product warranty

Certain MARIELCO products may be covered by a separate limited product warranty. Where applicable, warranty coverage is governed by our Warranty Policy. A commercial warranty is separate from any consumer rights that cannot legally be excluded.

09Intellectual Property & Content

Intellectual property

Unless otherwise stated, website content is owned by or licensed to MARIELCO. Protected content may include the MARIELCO name, logos, product names, product designs, product photography, campaign imagery, videos, graphics, illustrations, written content, website design, layouts, software, code, collections, and trade dress.

You may access the website for personal, non-commercial use. You may not reproduce, distribute, modify, scrape, publish, sell, commercially exploit, or create unauthorized derivative works from protected MARIELCO content without appropriate permission.

Reviews and customer content

Where customers are permitted to submit reviews, photographs, comments, feedback, or other content, the customer remains responsible for the content submitted. Customers must not submit content that is unlawful, fraudulent, defamatory, infringing, misleading, abusive, malicious, or unrelated spam.

By submitting content for public display, you grant MARIELCO a non-exclusive license to use, reproduce, display, and format that content as reasonably necessary to operate and promote the relevant website features, subject to applicable privacy law.

10Third Parties, Privacy & Communications

Third-party services and links

The website may rely on third-party services including payment providers, logistics providers, analytics providers, fraud-prevention providers, hosting providers, communication providers, and other service providers. These third parties may have their own terms and privacy practices. MARIELCO remains responsible for its own obligations under applicable law and does not use this section to exclude responsibilities that cannot legally be excluded.

MARIELCO may provide links to external websites for convenience or informational purposes. Unless expressly stated otherwise, MARIELCO does not control those external websites. Accessing a third-party website is subject to that third party's terms and privacy practices.

Privacy and cookies

MARIELCO handles personal information in accordance with our Privacy Policy and applicable privacy laws. Personal information may be processed where reasonably necessary to process orders, take payments, deliver products, provide customer service, prevent fraud, maintain website security, meet legal obligations, or provide permitted marketing communications.

MARIELCO may use cookies and similar technologies for essential website functionality, shopping-cart functions, account functions, analytics, preferences, security, and advertising or marketing where permitted. Further information is provided in our Cookie Policy and available cookie settings.

Electronic communications

By using the website, placing an order, or contacting MARIELCO electronically, you agree that transactional communications may be provided electronically where permitted by law. These may include order confirmations, payment notices, shipping confirmations, tracking information, refund confirmations, account notices, and policy or service communications.

Marketing communications are handled separately in accordance with applicable consent requirements.

11Liability & Governing Law

Events beyond our control

MARIELCO will not be responsible for delay or failure caused by events beyond our reasonable control to the extent permitted by applicable law. Such events may include:

• Transportation interruption and carrier disruption
• Labor disputes
• Public-health emergencies
• Internet or infrastructure failures
• Cybersecurity incidents

Where reasonably possible, we will take appropriate steps to minimize disruption.

Disclaimer of warranties

To the fullest extent permitted by applicable law, the website is provided on an "as available" basis. Nothing in these Terms excludes express product promises made by MARIELCO, applicable product warranties, mandatory statutory warranties, consumer guarantees, or rights that cannot legally be excluded.

Limitation of liability

To the fullest extent permitted by applicable law, MARIELCO will not be liable for indirect, incidental, special, punitive, or consequential losses arising solely from the use or inability to use the website.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law. In particular, nothing in these Terms is intended to exclude or restrict mandatory consumer rights, liability for fraud, liability for willful misconduct, liability for death or personal injury where legally non-excludable, or other liability that cannot legally be excluded.

Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses or claims resulting from your unlawful misuse of the website or material breach of these Terms. This provision does not impose liability on consumers beyond what is permitted by applicable law.

Governing law and disputes

These Terms & Conditions are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles. However, this choice of law does not deprive a consumer of mandatory protections that apply under the law of the consumer's place of residence where those protections cannot legally be waived.

Where a dispute arises, customers are encouraged to contact MARIELCO Customer Care first so that we can attempt to resolve the issue. Subject to any mandatory rights that allow a consumer to bring a claim in another jurisdiction, disputes relating to these Terms may be submitted to a court of competent jurisdiction in the State of Colorado, United States. Nothing in this section limits legal rights that cannot be contractually restricted.

12General Provisions & Contact

Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary. The remaining provisions will continue in effect.

No waiver

If MARIELCO does not immediately exercise or enforce a right under these Terms, this does not mean that the right has been waived. A waiver will only apply where clearly given and to the extent stated.

Assignment

Customers may not transfer contractual rights or obligations under these Terms where such transfer would materially affect MARIELCO without our consent, except where applicable law provides otherwise. MARIELCO may transfer its rights or obligations in connection with a lawful corporate restructuring, merger, acquisition, sale of business, or transfer of relevant operations, provided that doing so does not unlawfully reduce customer rights.

Entire agreement

These Terms, together with the applicable policies incorporated into them, constitute the agreement between MARIELCO and the customer concerning use of the website and purchases made through it, except where additional written terms expressly apply. Nothing in this provision limits liability for fraudulent representations or mandatory legal rights.

Headings

Section headings are provided for convenience and readability only. They do not alter the meaning of these Terms.

Changes to these terms

MARIELCO may update these Terms from time to time to reflect changes in business operations, products, website functionality, payment services, shipping arrangements, applicable law, or regulatory requirements. The current version will be published on the website with its latest update date.

Unless otherwise required by law, the terms applicable to a purchase will generally be those in effect at the time the applicable order was placed.
